Tally — Terms of Service

1. Fitness & Health Disclaimer

You should consult a qualified healthcare provider or certified fitness professional before beginning any exercise program, especially if you have pre-existing health conditions, injuries, or concerns about your physical readiness.

All use of Tally's workout suggestions, exercise information, and training programs is at your own risk. You are solely responsible for ensuring that you train safely, use appropriate weights, and perform exercises suited to your physical ability and fitness level. We take no responsibility for any injury, illness, or adverse health outcome that may result from your use of the App or any workout performed based on information provided within it.

2. Use of the App

We grant you a limited, non-exclusive, non-transferable, revocable license to use the App for your personal, non-commercial purposes, subject to these Terms. You agree not to:

• Use the App for any unlawful purpose or in violation of any applicable laws.
• Attempt to reverse engineer, decompile, or disassemble the App.
• Interfere with or disrupt the App's functionality or the servers or networks connected to it.
• Use the App to transmit harmful, abusive, or objectionable content.
• Reproduce, redistribute, or create derivative works based on the App.

3. Accounts

Certain features of the App may require you to sign in with Apple or Google. When you create an account, you agree to provide accurate information and to maintain the security of your account credentials. You are responsible for all activity that occurs under your account. If you suspect unauthorized access, please contact us immediately.

You may delete your account at any time from the Settings screen within the App. Upon deletion, all data associated with your account on our servers will be permanently removed.

4. Your Data

The workout data you log in Tally — including exercises, sets, reps, weights, notes, and program configurations — belongs to you. Our collection, use, and handling of your data is governed by our Privacy Policy, which is incorporated into these Terms by reference.

5. AI-Powered Features

Tally offers optional AI-powered features including workout suggestions and voice-driven workout modifications. These features use third-party AI services (Anthropic and OpenAI) to process your requests. AI-generated content is provided as suggestions only and should not be treated as professional fitness advice.

We do not guarantee the accuracy, completeness, or suitability of any AI-generated workout suggestion. You are responsible for evaluating whether any suggested exercise, set, rep, or weight scheme is appropriate for your fitness level and physical condition.

6. Intellectual Property

The App and its original content, features, design, and functionality are owned by Vegh Labs LLC and are protected by copyright, trademark, and other applicable intellectual property laws. The Tally name, logo, and associated branding are our property.

Exercise data provided within the App may be sourced from third-party libraries and is used in accordance with their respective licenses.

7. Disclaimer of Warranties

THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE APP WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY DEFECTS WILL BE CORRECTED.

8. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL VEGH LABS LLC, ITS AFFILIATES, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF DATA, PERSONAL INJURY, OR DAMAGES ARISING FROM YOUR USE OF OR INABILITY TO USE THE APP, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

YOU ACKNOWLEDGE THAT YOUR USE OF THE APP AND ANY EXERCISE OR TRAINING PERFORMED BASED ON INFORMATION PROVIDED BY THE APP IS AT YOUR SOLE RISK.

9. Indemnification

You agree to indemnify, defend, and hold harmless Vegh Labs LLC from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in any way connected with your access to or use of the App, your violation of these Terms, or any injury or harm resulting from your exercise activities.

10. Termination

We may terminate or suspend your access to the App at any time, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the App will immediately cease. You may stop using the App at any time and delete your account through the Settings screen.

11. Changes to These Terms

We may modify these Terms at any time. If we make material changes, we will notify you through the App or by updating the effective date above. Your continued use of the App after any changes constitutes your acceptance of the updated Terms.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions.
